– The ALYA NDA only covers our specific technical blueprints, product roadmaps, and business models.
– Your personal health journey, your feedback, your symptoms, and your own pain points are entirely yours and are NEVER restricted.
– You are free to share your own story, use any health product you want, and build anything you want.
– All responses will be anonymized. ALYA does not use your personally identifiable information.
We just ask that you keep the specific “how” of ALYA’s technology between us while we build.

For the purposes of this document, the Disclosing Party is ALYA (Jennifer Villalobos) while the Receiving Party is you.
1. Purpose
The Parties wish to explore a potential business relationship related to the early-stage validation of ALYA, a precision health platform and “Intelligent Companion” for women (the “Purpose”). During this exploration, ALYA will share proprietary concepts, and the Validator will provide valuable real-world feedback.
2. What is “Confidential Information”
For this validation phase, Confidential Information is strictly limited to ALYA’s proprietary business and technical assets, specifically:
- The mechanics and clinical frameworks of the “7 Hormonal Patterns” map/matrix and the “Adaptation Quotient (AQ)” scoring system.
- The concepts, logic, and hardware strategies behind the “Proprietary Biomarker Loop”, the “Daily Performance Blueprint”, and at-home diagnostic kits.
- Unpublished pricing models (e.g., the subscription and kit costs), business strategies, or clinical routing partnerships.
- Any non‑obvious technical specifications, algorithms, or product roadmaps shared by ALYA during the interview.
The following are absolutely NOT Confidential Information:
- Any physical pain points, symptoms, lifestyle patterns, “friction,” or health‑related challenges disclosed by the Validator.
- Any general discussions about perimenopause, menopause, hormones, the “Second Prime,” or the wellness/Femtech industry.
- Information that is independently known by the Validator or becomes public through no fault of the Validator.
3. Obligations of Receiving Party
The Receiving Party agrees to:
- Use the Confidential Information solely for the Purpose of providing validation feedback to ALYA.
- Not disclose ALYA’s specific product blueprints, concept cards, or pricing models to third parties or competitors.
- Use reasonable care (at least the same care used for its own confidential information) to keep the shared concepts private while ALYA is in its stealth/early stage.
4. Exclusions (No Non‑Compete)
This Agreement does not restrict either Party from:
- Using, developing, or testing any other health, wellness, or Femtech products.
- Working with any other person, doctor, or company in the health and wellness space.
- Sharing general market feedback, personal health stories, or frustrations about the medical system with anyone.
This is not a non‑compete agreement. No exclusivity is granted.
5. Term
This Agreement lasts for 1 year from the Effective Date. The confidentiality obligation for any specific piece of Confidential Information continues for 2 years after its disclosure.
6. Return of Information
Upon request, each Party will return or destroy any digital or physical “Concept Cards,” pitch decks, or technical documents provided by the other Party within 15 days, except one archival copy for legal compliance.
7. No License or Warranty
No patent, copyright, or trade secret license is granted. All concepts are shared at the early “Proof of Concept” stage and are provided “AS IS.” (ALYA is presenting early-stage concepts for feedback, not providing official medical diagnoses).
8. Governing Law
The laws of Thailand and Singapore govern this Agreement.
9. Entire Agreement
